OCR fine waiver 2083: clear your company's past fines by Poush end
If your company has fallen behind on its yearly filings at the Office of the Company Registrar (OCR), this is the best chance in years to fix it. The Finance Act 2083 waives all earlier fines, fees, charges and interest under the Companies Act 2063 for companies that bring themselves up to date by the deadline.
Who can use it
- Companies that did not file their yearly returns or renew at OCR, for any number of years.
- Companies that want to continue, and companies that want to close (deregister). The waiver applies either way.
- Dormant companies that never traded but stayed registered.
What you have to do
- File the FY 2082/83 returns and pay the current year's dues at OCR by Poush end 2083.
- Bring the pending years' filings up to date: share details (section 51), audit report with signed financial statements (section 80(2)) and auditor appointment (section 111).
- OCR shows a 100% discount on the old fines on the portal and issues the update letter.
How much it can save
OCR fines build up for each filing, for each year. These estimates cover the three main filings, by paid-up capital:
| Years pending | Paid-up up to Rs. 25 lakh | Up to Rs. 1 crore | Above Rs. 1 crore |
|---|---|---|---|
| 1 year | Rs. 7,000 | Rs. 12,000 | Rs. 22,000 |
| 3 years | Rs. 64,000 | Rs. 1,19,000 | Rs. 2,29,000 |
| 5 years | Rs. 1,65,000 | Rs. 3,10,000 | Rs. 6,00,000 |
| 10 years | Rs. 6,10,000 | Rs. 11,55,000 | Rs. 22,45,000 |
Under the waiver, all of this becomes Rs. 0. The figures are estimates; the exact amount for your company is shown on the OCR portal. Try our OCR fine estimator.
Don't forget the tax side
OCR does not charge tax, but the Inland Revenue Department does. A company behind at OCR is usually behind on its income tax returns too. A separate waiver lets you pay the tax plus 1% and have the fees and interest waived, with the same Poush end deadline. Read our article on the tax waiver.
Lost your OCR login?
That's common, and it can be fixed. The company files an e-service access application with a board decision, the director verifies their identity in person (सनाखत) at OCR or the ward office, and OCR issues a new username and password. Start early, because this step adds time.
What you need to get started
- Company registration certificate
- OCR (CAMIS) login, or the details to recover it
- PAN certificate
- Any bank statements or bills for the missing years
We prepare the financial statements, minutes and filing letters, coordinate with an independent auditor and file at OCR. See OCR renewal and company compliance or book a consultation before the deadline.
